USER AGREEMENT FOR UON

1. Acceptance of Terms

Welcome to UON, an innovative mobile application that combines social media, geo-location, augmented reality, and networking features. This User Agreement ("Agreement"), together with our Privacy Policy, governs your use of the UON app. By downloading, accessing, or using our app, you are agreeing to these terms.

PLEASE READ SECTIONS 17 AND 18 CAREFULLY AS THEY CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER.

2. Eligibility and Registration

You must be at least 18 years old to use UON. By creating an account, you represent and warrant that you are 18 years of age or older. Accounts found to be created by anyone under 18 will be terminated immediately. You are responsible for all activity that occurs under your account. You must not create accounts with the UON Services through unauthorized means, including but not limited to, by using an automated device, script, bot, spider, crawler, or scraper.

3. Content

You are solely responsible for the content you post on UON, including pictures and location data. You warrant that you own or have the necessary rights to post your content on our platform.

4. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your information. Please read it carefully.

5. Safety

We do our best to keep UON safe, but we cannot guarantee it. We need your help to do that, which includes the following commitments:

• You will not post unauthorized commercial communications (such as spam) on UON.

• You will not collect users’ content or information, or otherwise access UON, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior permission.

• You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on UON.

6. Location Sharing, Augmented Reality, and Real-Time Status

You understand that by using our app, you agree to share your location data and profile status when you choose to activate certain features, such as live location sharing, dating mode, networking mode, and augmented reality features. This means that other users in your vicinity may be able to see your real-time location, dating availability (e.g., "Single"), professional status (e.g., "Open to Work"), and profile photo through their device camera (AR view). You understand that you can control when and how long this information is shared via your privacy settings.

7. Events, Third-Party Fees, and Release of Liability

UON allows users to create events, invite others, and discover events hosted by third parties. UON is a platform only and does not organize, host, supervise, or control these events.

• No Liability for Events: UON is not responsible for the conduct of any user or third party at any event. We are not liable for any injuries, damages, losses, or disputes that arise from your attendance at an event found through UON. You attend all events at your own risk.

• Third-Party Fees and Sites: Events listed on UON may require tickets, cover charges, or other fees paid to third-party venues or organizers. UON is not responsible for these fees, nor for any refunds, cancellations, or disputes related to payments made to third parties. If you navigate away from UON to a third-party website (e.g., to buy tickets), you do so entirely at your own risk.

• Compliance with Venue Rules: You are solely responsible for complying with all applicable laws and venue rules, including age restrictions, dress codes, and door charges.

8. Accuracy of User Information

UON is not responsible for the accuracy of information shared by users, such as their dating status, age, or gender. Users should take appropriate precautions when interacting with others.

9. Alcohol and Substance Use Responsibility

If alcohol or other substances are offered at events, UON advises users to consume responsibly. UON is explicitly not liable for any incidents, accidents, or health issues related to the consumption of alcohol or substances at events, regardless of whether the event was promoted on our platform.

10. Digital Millennium Copyright Act (DMCA)

UON respects the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please forward the following information to our Copyright Agent:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;

• Identification of the copyrighted work claimed to have been infringed;

• Identification of the material that is claimed to be infringing and where it is located on the Service;

• Your contact information, including your address, telephone number, and email address;

• A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

11. Data Retention and Deletion

UON retains your data to provide services and improve user experience. You can delete your account and associated data by contacting us through the app. UON will remove your data, except where retention is legally required.

12. Reporting Violations

Users can report content or behavior that violates this agreement through UON’s reporting feature. UON will investigate reported issues and may suspend or terminate accounts that violate these terms.

13. Ad Personalization

UON may use your data for ad personalization. Users can control their ad preferences through their account settings. UON does not sell your personal information to third-party advertisers.

14. Changes to this Agreement

We may make changes to this Agreement from time to time. If we make changes, we will provide you with notice of such changes by posting the updated Agreement on our app and updating the “Last Updated” date above.

15. Termination

If you violate this User Agreement, or otherwise create risk or possible legal exposure for us, we can stop providing all or part of UON to you.

16. Subscription and Payments

Some features of UON require a subscription. By subscribing, you authorize us to charge the subscription fee to your chosen payment method. You understand that we may use third-party services to process payments and consent to the disclosure of your payment information to such third-party payment service providers. It is your responsibility to provide accurate payment information and keep it up-to-date.

17. Indemnification

You agree to defend, indemnify, and hold harmless UON, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents, and advisors from any and all claims, liabilities, costs, and expenses, including, but not limited to, attorneys’ fees and expenses, arising out of a breach by you or any user of your account of these Terms or the Privacy Policy or arising out of a breach of your obligations, representation and warranties under these Terms.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

19. Governing Law and Dispute Resolution

• Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

• Arbitration Agreement: YOU AND UON AGREE THAT ALL DISPUTES BETWEEN YOU AND UON (WHETHER OR NOT SUCH DISPUTE INVOLVES A THIRD PARTY) WITH REGARD TO YOUR RELATIONSHIP WITH UON, INCLUDING WITHOUT LIMITATION DISPUTES RELATED TO THESE TERMS, YOUR USE OF THE SERVICES, AND/OR RIGHTS OF PRIVACY AND/OR PUBLICITY, WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION.

• Class Action Waiver: YOU AND UON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

20. Geo-Location and Safety Recommendations

While UON encourages social interaction, we prioritize user safety. We recommend that users avoid posting images or marking locations near sensitive areas such as homes. Use of these features is at your own risk.

21. Child Safety Standards Policy

• Zero Tolerance: We strictly prohibit any form of child sexual abuse and exploitation (CSAE). Violations result in immediate removal and reporting to the NCMEC and law enforcement.
