USER AGREEMENT FOR UON

Acceptance of Terms

Welcome to UON, a mobile and spatial application that combines social networking, dating, augmented reality, location-based services, event discovery, and communication features. These Terms of Use ("Agreement"), together with our Privacy Policy, govern your access to and use of UON.

By downloading, accessing, registering for, or using UON, you agree to be bound by this Agreement.

PLEASE READ THE SECTION TITLED "GOVERNING LAW, DISPUTE RESOLUTION, AND LAW ENFORCEMENT" CAREFULLY, AS IT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER.

Eligibility, Registration, and Account Security

You must be at least eighteen (18) years old to create an account or use UON.

By creating an account, you represent and warrant that:

• You are at least 18 years old.

• Information you provide is accurate.

• You will maintain the accuracy of your account information.

• You will not create accounts through automated means.

Accounts violating these requirements may be suspended or terminated without notice.

Account Security: Users are responsible for maintaining the confidentiality of account credentials and for all activities occurring under their account. Users must promptly notify UON of any unauthorized access, security breach, or suspected compromise of their account.

User Content and Disclaimers

You are solely responsible for content you upload, submit, publish, transmit, or display through UON. You represent and warrant that you own or have rights to all content submitted; your content does not violate any law or third-party rights; and your content is not defamatory, misleading, fraudulent, or unlawful.

User Content Disclaimer: UON does not endorse, verify, investigate, monitor, or guarantee the accuracy, legality, quality, safety, or reliability of user-generated content. Any opinions, statements, photographs, videos, messages, event descriptions, profile information, or other content posted by users belong solely to those users.

Privacy

Your use of UON is also governed by our Privacy Policy, which explains how we collect, use, retain, and disclose information.

Platform Rules and Community Standards

You agree not to spam other users; use bots, scrapers, crawlers, or automated systems; harass, threaten, stalk, or intimidate others; upload unlawful, offensive, or harmful content; violate any local, state, federal, or international law; or interfere with the operation of UON.

Community Standards Catch-All: UON may take action against conduct that, while not expressly prohibited herein, is determined by UON in its sole discretion to be harmful to users, the platform, or the UON community.

Illegal Activities Enforcement: UON may immediately remove content, suspend accounts, or actively cooperate with authorities where the Services are used in connection with unlawful conduct, fraud, harassment, stalking, trafficking, exploitation, or other harmful activities.

Location Sharing, AR Features, and Real-Time Status

Certain features allow you to voluntarily share real-time location data, dating status, networking status, profile information, and augmented reality visibility. By enabling these features, you understand that other users may view information you choose to make available. You remain solely responsible for when and how you share this information.

Safety Disclaimer for Real-Time Location Sharing: Users acknowledge that sharing real-time location information may increase personal safety risks. Users are solely responsible for determining when, where, and with whom they share location information.

Location Accuracy Disclaimer: Location information displayed through the Services may be delayed, inaccurate, incomplete, unavailable, or affected by GPS limitations, device settings, environmental conditions, third-party services, network connectivity, or operating system restrictions. UON does not guarantee the accuracy of any location information displayed through the Services.

Spatial Computing and Wearable Device Safety: Users are solely responsible for maintaining awareness of their physical surroundings while using augmented reality, wearable, spatial computing, navigation, or location-based features. UON is not responsible for injuries, accidents, collisions, falls, distractions, or property damage resulting from use of such features.

No Emergency Services Disclaimer: UON is not a public safety service and should never be relied upon for emergency assistance, law enforcement response, medical emergencies, or locating missing persons.

Visibility and Discovery Disclaimer: UON does not guarantee that other users will see your profile, your profile will appear in augmented reality views, users will receive notifications, events will appear to all users, status-sharing features will function continuously, or location-sharing features will remain available at all times. Visibility may be affected by device compatibility, permissions, operating system restrictions, internet connectivity, location accuracy, user settings, third-party services, and technical limitations.

Assumption of Risk

By using UON, attending events, sharing your location, utilizing augmented reality features, participating in networking or dating activities, or meeting other users through the platform, you voluntarily assume all risks associated with such activities.

These risks may include personal injury, illness, emotional distress, harassment, assault, theft, property damage, financial loss, and interactions with unknown individuals. You acknowledge that UON cannot guarantee the safety, conduct, identity, or intentions of any user or third party.

Events, Third-Party Fees, and Release of Liability

UON provides tools that allow users to discover, create, promote, and attend events. UON does not organize, supervise, manage, host, or control user-created events.

User-Generated Event Responsibility: Event creators are solely responsible for the content, legality, safety, operation, promotion, and management of events they create.

Event Organizer Indemnification: Event creators agree to defend, indemnify, and hold harmless UON from all claims, liabilities, fines, damages, costs, attorney fees, and expenses arising from events they create, organize, promote, host, or manage.

No Liability for Events: You attend events entirely at your own risk. UON shall not be responsible for injuries, losses, damages, disputes, theft, assault, misconduct, accidents, or other incidents arising from participation in events.

Third-Party Fees: Some events may require admission fees, ticket purchases, venue cover charges, or third-party payments. UON is not responsible for such charges or related disputes.

Venue Rules: You are solely responsible for complying with venue rules, age restrictions, local laws, dress codes, and admission requirements.

Release of Liability, California Civil Code Section 1542 Waiver, and User Disputes

Release of Liability and California Civil Code Section 1542 Waiver: To the fullest extent permitted by law, you release UON, LLC and its officers, directors, employees, contractors, affiliates, agents, successors, and assigns from all claims, demands, damages, losses, liabilities, and causes of action arising from use of the Services, attendance at events, interactions with other users, and activities facilitated through UON.

You expressly waive California Civil Code Section 1542, which provides:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor."

User-to-User Disputes: UON is not responsible for monitoring, mediating, or resolving disputes between users. Any dispute, claim, injury, loss, damage, or disagreement arising from interactions between users is solely between those users. UON reserves the right, but not the obligation, to assist in dispute resolution.

Accuracy of User Information and Fraud Protections

Accuracy of User Information: UON does not verify user-submitted information. Users may misrepresent age, identity, relationship status, employment, education, professional credentials, gender, or intentions. You are solely responsible for evaluating information provided by others.

Fraud, Impersonation, and Misrepresentation Protection: UON is not responsible for fraudulent accounts, impersonation, identity theft, catfishing, misrepresentation, deceptive conduct, or false statements made by users. Users are solely responsible for independently verifying the identity of individuals they interact with through the Services.

User Verification and Recommendations Disclaimers

No Background Checks or User Verification: UON does not routinely conduct criminal background checks, identity verification, employment verification, or professional credential verification. UON makes no representations regarding the conduct, identity, qualifications, or legitimacy of users.

Recommendations and Matching Disclaimer: UON may use automated systems, algorithms, filters, ranking systems, or recommendation tools to display users, events, content, networking opportunities, or potential matches. UON does not guarantee the accuracy, suitability, compatibility, safety, legality, or effectiveness of any recommendation, match, event, profile, or connection presented through the Services.

No Guarantee of Desired Outcomes: UON does not guarantee that users will obtain dates, relationships, friendships, employment opportunities, business opportunities, networking connections, event attendance, or any other desired outcome through the Services.

Alcohol and Substance Use Responsibility

If alcohol or other substances are present at events, users assume full responsibility for their own decisions and conduct. UON is not liable for injuries, damages, health issues, criminal acts, accidents, or losses related to alcohol or substance use.

Intellectual Property, DMCA, and Proprietary Rights

Intellectual Property and DMCA: UON respects intellectual property rights. If you believe content infringes your copyright, please forward a formal takedown notice to our Designated Copyright Agent containing all information required by the Digital Millennium Copyright Act (DMCA):

UON Intellectual Property: Except for user-generated content, all software, source code, designs, interfaces, trademarks, service marks, logos, patents, trade secrets, technology, functionality, and intellectual property associated with UON are owned by or licensed to UON, LLC and protected under applicable law. No rights are granted except as expressly stated in this Agreement.

Patent and Proprietary Technology Notice: The UON mobile application, its core location matching frameworks, spatial mapping code, ultra-wideband user tracking integration, augmented reality overlay mechanisms, and signature visual user interface designs encompass proprietary technological innovations. These systems, features, and visual architectures may be protected by issued utility and design patents, or active, pending patent applications filed with the United States Patent and Trademark Office (USPTO) and international patent authorities. Your use of the Services does not grant you any license, ownership, or replication rights to any of UON, LLC's underlying patented configurations or engineering workflows.

Content Removal Rights and Data Deletion

Content Removal Rights: UON reserves the right, but is not obligated, to review, monitor, remove, restrict, edit, or disable access to any content for any reason, including content that violates this Agreement, applicable law, or may expose UON to liability.

Data Retention and Account Deletion: UON retains information as reasonably necessary to provide services, comply with legal obligations, prevent fraud, resolve disputes, and enforce agreements. Users may request account deletion through the application, website, or by contacting support@uonapp.com. Certain records may be retained where legally required.

Reporting Violations

Users may report harassment, fraud, inappropriate content, safety concerns, or violations of this Agreement. UON may investigate and take action, including account suspension or termination.

Advertising, Analytics, and Tracking

UON may use data for analytics, advertising measurement, service improvement, and platform optimization. UON does not sell personal information for monetary compensation. Certain device identifiers and analytics data fragments may be shared with analytics, infrastructure, and advertising service providers to optimize operational systems.

California Privacy Protections: California residents may possess additional privacy rights detailed inside UON's Privacy Policy, including rights related to data access, deletion, correction, and portability tools.

Electronic Communications Consent

By creating an account, you consent to receive communications from UON, including service announcements, security notices, subscription information, transactional communications, and product updates. Communications may be delivered through email, SMS, push notifications, or in-app messages.

Changes to this Agreement

We may modify this Agreement at any time. Changes become effective upon posting unless otherwise required by law. Continued use of UON constitutes acceptance of updated terms.

Suspension and Termination

UON may suspend, restrict, or terminate access at its sole discretion if you violate this Agreement, create risk to other users, or expose UON to legal liability.

User Content, Feedback, and Experimental Licensing

User Content License: You retain ownership of content you submit. However, by posting content, you grant UON a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, display, reproduce, distribute, format, and use such content solely for operating, improving, marketing, and providing the Services.

Feedback License: Any suggestions, feedback, recommendations, or ideas submitted to UON may be used by UON without compensation, restriction, or attribution to you.

Beta and Experimental Features: UON may offer beta, preview, experimental, or pre-release features (including specialized hardware testing, ultra-wideband features, or experimental spatial computing layouts). Such features may contain errors, interruptions, inaccuracies, or security vulnerabilities and are provided "AS IS" without warranties of any kind. UON may modify, suspend, or discontinue beta features at any time without notice.

Subscriptions and Payments

Certain features require paid subscriptions. By subscribing, you authorize recurring charges through your selected payment method. Subscriptions automatically renew unless canceled in accordance with platform requirements. All billing is processed through authorized third-party payment providers.

Cancellation Policy: If you purchased your subscription through a third-party app platform (such as the Apple App Store or Google Play Store), you must manage and cancel your subscription directly through your native device account settings. UON does not have the technical authority or access to alter, cancel, or refund subscriptions processed through third-party platform stores.

Marketplace, Ecosystem, and Hardware Disclaimers

Third-Party App Store Legal Provisions: You acknowledge and agree that this Agreement is concluded solely between you and UON, LLC, and not with Apple Inc. or Google LLC. Apple and Google hold no obligation whatsoever to furnish any maintenance, support, or warranty services with respect to the UON mobile application. To the maximum extent permitted by applicable law, Apple and Google will have no other liability or warranty obligation whatsoever arising from failures or operational claims regarding the UON application.

Third-Party Services and Technology Disclaimer: UON may rely on third-party products, software, hardware, operating systems, payment processors, telecommunications providers, location services, mapping services, and application marketplaces. UON is not responsible for interruptions, inaccuracies, failures, outages, security incidents, delays, or performance issues caused by third-party systems.

Deep Link / External Website Disclaimer: UON is not responsible for the content, privacy practices, availability, security, or functionality of third-party websites or services accessed through links provided within the Services (including external ticketing networks, venue websites, or social media pages).

Device Compatibility Disclaimer: Certain features may only be available on supported devices, operating systems, hardware configurations, or third-party wearable/spatial platforms (including specific augmented reality glasses, headsets, or ultra-wideband tracking modules). UON does not guarantee that all features will function on every device, operating system version, mobile phone, or future hardware platform.

Indemnification and Corporate Assignments

Indemnification: You agree to defend, indemnify, and hold harmless UON, LLC, its parent structures, and its affiliates from claims, liabilities, damages, losses, costs, and expenses arising from your use of the Services, your content, your real-world conduct, or violations of this Agreement.

Assignment Rights: UON may assign or transfer this Agreement, in whole or in part, without restriction in connection with a merger, acquisition, sale of assets, financing transaction, or corporate reorganization. Users may not assign or transfer their rights or obligations without UON's prior written consent.

Reservation of Rights: All rights not expressly granted to users within this text are strictly reserved by UON.

Limitation of Liability, Disclaimers, and Service Availability

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, UON SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." UON DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND AVAILABILITY. UON DOES NOT GUARANTEE THAT SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

Service Availability: UON may experience interruptions, maintenance periods, outages, delays, upgrades, or technical failures. UON does not guarantee uninterrupted access to the Services and shall not be liable for losses resulting from service interruptions or platform maintenance.

Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, UON'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

• $100 USD; OR

• THE AMOUNT PAID BY THE USER TO UON DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law, Dispute Resolution, and Law Enforcement

This Agreement and any dispute arising out of it shall be governed by the laws of the State of California, without giving effect to conflict of laws principles.

Binding Individual Arbitration: You and UON agree that any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding individual arbitration. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules.

• Location & Venue: Unless you and UON agree otherwise, the arbitration hearing will take place in the county of your residence, or if you reside outside of California, in Orange County, California.

• Filing and Costs: Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. UON will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous. In California, you will not be required to pay the fees and costs incurred by UON if you do not prevail in arbitration.

• Arbitration Opt-Out Process: You can reject this agreement to arbitrate by emailing support@uonapp.com within thirty (30) days of first downloading the application or creating an account. The opt-out email must include your full name and the email address associated with your UON account.

• Time Limits: To the maximum extent permitted by law, any claim or dispute must be filed within one (1) year after the cause of action arises, or it is permanently barred.

• Electronic Records: You agree that electronic records, account records, system logs, communications, metadata, timestamps, and other electronically stored information maintained by UON may be used as evidence in connection with disputes, investigations, or legal proceedings.

Law Enforcement Cooperation: UON reserves the right to cooperate fully with law enforcement agencies, regulators, courts, governmental authorities, and valid legal processes as required by applicable law, including preserving, disclosing, or providing information where legally required or reasonably necessary to protect users, UON, or the public.

Small Claims Exception: Nothing prevents either party from bringing qualifying claims on an individual basis in small claims court.

Class Action Waiver: YOU AND UON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Export Control Compliance and Force Majeure

Export Control Compliance: Users may not use, download, or export the Services in violation of applicable U.S. export control, financial sanctions, or international trade laws.

Force Majeure: UON shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, internet outages, government actions, labor disputes, cyberattacks, or third-party service failures.

Venue and Business Disclaimer

References to venues, businesses, restaurants, bars, parks, organizations, or public locations do not imply sponsorship, endorsement, affiliation, or authorization by UON. Users may create events at locations without venue participation or approval. UON is not responsible for venue operations, fees, policies, cancellations, or conduct.

Safety Recommendations, Legal Status, and Survival

Safety Recommendations: Users are encouraged to exercise caution when sharing locations, attending events, meeting others, or posting content. Avoid sharing sensitive personal information and remain aware of your surroundings at all times. We recommend avoiding pinning images or marking real-time status markers near sensitive private domains, including your residential home address. Use of these interactive mapping tools remains strictly at your own individual risk.

No Professional Advice: Information available through the Services does not constitute legal, financial, employment, medical, investment, mental health, or professional advice. Users should independently evaluate all information obtained through the Services.

Survival Clause: Provisions relating to arbitration, limitation of liability, disclaimers, intellectual property, corporate licensing, indemnification, payment obligations, releases, and any provisions that by their nature should survive termination shall fully survive the termination of this Agreement.

Child Safety Standards and Entire Agreement

Child Safety Standards Policy (Zero Tolerance): UON strictly prohibits all forms of child sexual abuse and exploitation. Violations will result in immediate account termination and reporting to appropriate authorities, including the National Center for Missing and Exploited Children (NCMEC). Reports may be submitted through the in-app tools or via email at support@uonapp.com (Phone: (714) 654-9529).

Entire Agreement: This Agreement and our Privacy Policy constitute the entire, complete agreement between you and UON, LLC regarding the Services, fully superseding any and all prior agreements, spoken understandings, or corporate representations relating to the platform.
